The chief executive officer of the South Dakota-based company pursuing a massive $2 billion all-cash acquisition of Service Properties Trust’s extensive hotel portfolio is speaking out, arguing that the properties have suffered from years of underinvestment and that his firm possesses the financial capability to revitalize them.

The transaction under discussion involves a staggering 92-hotel portfolio encompassing nearly 21,000 rooms, a footprint that is roughly four times the size of the bidding entity’s current operations. The prospective buyer, TKO—officially registered as The Koehler Organization and headquartered in Aberdeen, South Dakota—currently owns and manages 44 hotels featuring a little over 4,000 rooms, according to data from real estate analytics firm CoStar. However, according to Jim Koehler, the CEO of TKO, the actual operational scope of his enterprise is even larger when factoring in external holdings, pushing the portfolio past the 5,000-room threshold once stakes in other companies are fully accounted for.

Despite the notable disparity in scale between the two corporate entities, TKO has pressed forward with its bold takeover bid, offering to acquire the vast collection of properties in a deal that has drawn significant attention within the hospitality and real estate investment sectors. Service Properties Trust, a prominent real estate investment trust, holds ownership over a diverse collection of hospitality assets across the United States, including recognizable properties such as the Sonesta Select Phoenix Camelback, which features prominent outdoor resort amenities like its sun-drenched swimming pool.

Up to this point, TKO has not publicly disclosed the complete financial machinery or structural backing it intends to utilize to fully finance the monumental $2 billion offer. The lack of an immediately transparent financing blueprint has naturally sparked curiosity and questions among industry observers regarding how a significantly smaller regional hospitality organization intends to execute a transaction of this magnitude against a much larger institutional trust.

Addressing these questions directly in his first public interview since the multibillion-dollar bid was launched, Jim Koehler shed light on his approach to transparency with the trust and defended his private enterprise’s financial standing. Koehler revealed to Skift that he has directly offered to share his personal financial statement with Service Properties Trust to substantiate his company’s capability to close the transaction. Furthermore, the TKO chief executive asserted that he personally holds "nine figures" in cash, pointing to substantial private liquidity as a foundational pillar supporting the firm’s aggressive acquisition strategy.

Koehler’s core thesis centers on what he characterizes as a systemic neglect of the properties currently under the stewardship of Service Properties Trust. According to the TKO leader, the trust has historically underinvested in the maintenance, modernization, and overall capital expenditure required to keep the 92-hotel portfolio competitive and appealing to modern travelers in an evolving lodging market. By injecting fresh capital and applying hands-on operational oversight, Koehler contends that TKO can rectify these perceived shortcomings, upgrading guest amenities, enhancing infrastructure, and unlocking the latent value trapped within the expansive collection of nearly 21,000 rooms.

The ambitious bid highlights a fascinating dynamic in the current hospitality landscape, where regional players with strong private backing attempt to absorb massive institutional portfolios by promising a more focused, operational revitalization approach. As discussions and evaluations continue, the marketplace remains watchful to see whether Service Properties Trust will engage with the South Dakota firm’s proposal and how TKO intends to ultimately secure the necessary backing to finalize one of the most intriguing hotel acquisition bids of the period.
